Transition Services Agreements

Fusion was engaged by a large asset management company to establish transition service agreements for related entities (carve outs) as part of a large transformational program. Fusion established a commercial work-stream whose primary focus was to review in excess of one hundred service and material contracts valued at over $30m and develop an approach to splitting the commercial agreements.

Fusion was also engaged to assess the value and depreciation of the overall capital and infrastructure and determine what commercial rules should apply to establishing the transition service agreements and assigning assets for transfer.

These agreements took the form of formal contracts that defined the scope of services to be delivered to the related entities over a 1-3 year period, the associated costs and at appropriate service levels. These complex contracts with many associated terms and conditions were developed and signed between three and six months of the process being initiated.
